THSYNAPSE TERMS OF SERVICE

Effective July 8, 2026.

THSynapse is operated by Signalworks LLC, an Oregon limited liability company ("we," "us"). By creating an account or using the service, you agree to these Terms.

1. THE SERVICE

THSynapse is a business software platform for service-operations management (vehicle and equipment intake, maintenance scheduling, inspections, cost tracking, and related features). It is intended for business use by companies and their authorized users.

2. ACCOUNTS & TENANTS

Your company's workspace ("tenant") is administered by its owner/admin users, who control which users may access it and in what roles. You are responsible for the accuracy of your account information and the security of your credentials. You must be at least 18 to use the service.

3. YOUR DATA

You own the data your company submits (vehicle records, maintenance data, photos, and similar). We do not share your tenant's data with any other tenant, and we access it only to provide and improve the service. On written request after termination, we will provide your data in a reasonable machine-readable format. A synthetic demonstration workspace (fictional company data) is visible to all users by design; it contains no customer data.

4. AI-ASSISTED FEATURES

Some features use third-party AI services to process information you submit (for example, reading a vehicle identification tag from a photo to populate specifications). AI outputs may contain errors; the service marks confidence and grounding where applicable, and you are responsible for verifying information before relying on it.

5. FEES

Paid plans are billed as stated in your order form or agreement. Trials and free tiers, where offered, are governed by their stated limits and duration and may be modified prospectively.

6. ACCEPTABLE USE

You will not: attempt to access another tenant's data; probe, disable, or circumvent security; reverse engineer the service; use it to violate law; or submit content you lack rights to submit.

7. OUR IP

The service, its software, and its design are owned by Signalworks LLC and its licensors. We grant your company a limited, non-exclusive, non-transferable right to use the service during your subscription. Feedback you provide may be used without restriction or obligation.

8. DISCLAIMER

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT COMMIT TO ANY UPTIME OR AVAILABILITY LEVEL. The service provides operational information only; it does not replace your own judgment, inspections, or legal/regulatory compliance obligations.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY IS CAPPED AT THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM (OR $100 IF YOU PAID NONE).

10. TERMINATION

You may stop using the service and close your account at any time. We may suspend or terminate accounts for material breach of these Terms, with notice where practicable. Sections 3 (data return), 7–10, and 12 survive termination.

11. CHANGES TO THE SERVICE OR TERMS

We may update the service and these Terms; material changes will be notified (e.g., by email or in-app) and apply prospectively. Continued use after notice is acceptance.

12. GENERAL

Governing law: Oregon, USA; exclusive venue in the state or federal courts located in Oregon. If a signed agreement between your company and us conflicts with these Terms, the signed agreement controls. If any provision is unenforceable, the remainder stands. Contact: info@thsynapse.com.
